1. Acceptance of Terms

By accessing or using ZudartAI's website and services ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

2. Description of Services

ZudartAI provides an AI-Native Business Development platform that autonomously performs business development activities including lead discovery, multi-channel outreach, follow-ups, lead qualification, meeting scheduling, proposal generation, and CRM integration (collectively, "the Services").

3. Account Registration

To use the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized account access

4. Intellectual Property

4.1 Our IP

The Platform, including its underlying technology, AI models, algorithms, dashboards, and documentation, is the proprietary property of ZudartAI and is protected by applicable intellectual property laws.

4.2 Your IP

You retain all rights to the business data, company information, product catalogs, and customer data you upload to the Platform ("Your Content"). You grant ZudartAI a limited license to use Your Content solely to provide and improve the Services.

5. Outcome-Linked Pricing

ZudartAI charges based on results delivered — qualified leads generated and meetings booked. Specific pricing terms will be outlined in your Service Agreement. All fees are non-refundable except as expressly stated in your agreement. Payment terms are net 30 days from invoice date.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, customer data, pricing, technical implementations, and AI model configurations. Confidentiality obligations survive termination for a period of three years.

7. Data Protection

ZudartAI processes your data in accordance with our Privacy Policy. We implement industry-standard security measures to protect Your Content. You represent that you have obtained all necessary consents and authorizations to share any personal data with ZudartAI for processing as part of the Services.

8. Limitations of Liability

To the maximum extent permitted by law, ZudartAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim shall not exceed the total fees paid by you in the twelve months preceding the claim.

9. Service Level & Uptime

ZudartAI commits to 99.5% platform uptime, measured monthly. Scheduled maintenance, with 48-hour advance notice, is excluded. If uptime falls below this threshold, you may be eligible for service credits as outlined in your Service Agreement.

10. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination: (a) you must pay all fees due through the termination date; (b) we will provide a reasonable period to export your data; and (c) we will securely delete your data within 30 days, unless retention is required by law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
